Kacie leads the firm’s Franchising + Distribution practice and serves as outside general counsel to franchisors in launching their concepts and ensuring ongoing franchise compliance throughout the life of the system. As a senior director in the firm's M+A team, she advises buyers and sellers on deal strategy throughout a diverse range of significant and complex transactions. Her clients range from small businesses with single-company stores or multiple franchised locations to national franchisors requiring compliance with state and federal regulations.

Kacie also advises franchisor businesses in the development of intellectual property strategies geared toward the protection of those clients and the mitigation of potential disputes with franchisees. 

Franchising

Kacie works closely with businesses on all aspects of franchise preparation, launch, and compliance, including developing and tailoring of state and federal franchise disclosure documents, mediating of sensitive franchisee/franchisor relationships, and leading negotiations with current and potential franchisees looking to purchase a new franchise, expand an existing franchise portfolio, or negotiate a corporate buy-out.

Mergers + Acquisitions

Kacie provides counsel to clients regarding complex business transactions, including mergers, acquisitions, asset purchases, stock purchases, divestitures, recapitalizations, reorganizations, joint ventures, and strategic alliances, and routinely represents buyers and sellers in the purchase and sale of businesses, subsidiaries and divisions, both in the U.S. and internationally.

Business + Tax

Kacie advises businesses during all stages of the corporate life cycle, from incorporating new or expanded business entities to drafting and negotiating buy-sell agreements. She is also experienced in drafting general contracts, assignments of interest, transfers of assets, operating agreements, partnership agreements, regulations, by-laws and more.

Kacie Davis is known for taking a highly practical approach to the representation of franchisors.

Kacie is experienced in federal and state regulatory matters and knows how to navigate the often complicated and confusing laws facing franchisors. She has served as counselor to start-up franchisors that range from a single company store to multiple franchised locations to national franchisors requiring compliance with both state and federal regulations.

Kacie is also well-versed in all aspects of establishing the franchise model, providing astute solutions to sales and growth questions specific to franchised businesses, and working with her clients to maintain a proactive stance when it comes to regulatory compliance. She has advised on the development of intellectual property strategies and best practices initiatives geared toward the protection of her clients and the mitigation of potential disputes with franchisees. As result, Kacie is called upon again and again to act as outside general counsel to many franchisor businesses.
