Biography

Bill has been advising clients in the firm’s Corporate, Real Estate, and Energy + Environment practice areas since joining Kegler Brown in 2016. He works with clients as outside general counsel on a range of business transactions, including mergers and acquisitions, and the purchase, sale, and finance of real estate and other assets. Bill also advises a major telecommunications services provider on title and leasing issues. Prior to joining Kegler Brown, Bill worked in the energy industry, advising his clients on matters related to leasing, acquisition, and disposition of assets related to both traditional and emerging energy technologies.

Startups + Emerging Businesses

Bill partners with entrepreneurs and family-owned businesses in the beginning stages of developing a business, helping them with initial registration and filing requirements, and guiding them through the legal issues related to licensing and permits, formation, startup, growth, franchising, finance, compliance, and sale. He regularly advises clients on matters pertaining to company structuring, fundraising, and economic incentives.

Mergers + Acquisitions

Bill works with companies on their most significant corporate transactions, including acquisitions, divestitures, joint ventures, private equity investments, mergers, and financing arrangements. He advises both buyers and sellers in commercial transactions and maintains a focus on the real estate issues at play as growing businesses are looking to expand operations.

Commercial + Real Estate Financing

Bill represents real estate developers, lenders, and commercial borrowers of all sizes in a wide range of financing transactions, including real estate acquisition financing, mezzanine financing, construction and permanent financing, and syndicated loans. Bill also has tremendous experience guiding lenders and borrowers throughout the entire process of financing affordable multifamily properties, providing counsel on all aspects of conventional, tax credit and HUD-insured financing and refinancing. He advises clients in the structuring and negotiation of new investments and other complex financings, such as projects involving public/private partnerships or mixed financing sources.

Energy + Environment

Bill is also a key member of the firm’s energy and environmental practice. He provides guidance to oil and gas producers and developers for a variety of their needs and works on a variety of matters, including leasing, production, and midstream issues. He has developed significant experience in the transfer and retention of mineral rights and analysis of mineral interest titles, and explains complex topics to clients in a clear and easy-to-understand manner.
