Jessica is a senior leader in the firm’s Intellectual Property area, working with clients globally on the most critical issues affecting their business assets, brand, and marketing strategy, from initial creative ideation to implementation, growth, and protection. Jessica works frequently with business owners, in-house counsel, and executive leadership teams on developing an IP strategy and then creating and protecting asset portfolios that drive competitive advantage. She is also a key member of the firm’s dynamic Franchising + Distribution team.
Intellectual Property
With the goal of helping clients protect their brand and the goodwill their business has created, Jessica manages intellectual property portfolios both domestically and globally, advising on a variety of IP issues, including trademark and copyright use and registration, license and sponsorship drafting and negotiation, and other safeguards for intellectual property assets. To help her clients’ business grow, Jessica provides counsel to businesses on various branding risks and opportunities, including the selection and pursuit of potential names and slogans, the trademark and copyright application process, and the prosecution and maintenance thereof. Similarly, she assists in the protection and enforcement of clients’ intellectual property rights, advising on licensing arrangements, sponsorship agreements, and cease and desist circumstances. She works with startups and established brands, including restaurants, breweries, food trucks, and other members of the hospitality industry, tech and educational firms, and their agency partners.
Franchising
Jessica regularly works with both franchisors and franchisees on various franchise and licensing matters. This area of her practice includes working closely with existing and start-up franchisors in the development and tailoring of state and federal franchise disclosure documents, as well as leading negotiations with current and potential franchisees looking to purchase a new franchise. She also helps franchising clients secure and manage their IP portfolios, navigate advertising laws and exceptions specific to franchising regulations, and understand the opportunities and costs associated with franchising.
Advertising + Marketing
Jessica provides counseling, clearance, review and enforcement support for her clients’ advertising and promotional efforts, helping them stay compliant with regulatory agencies like the FTC and FCC. Her work focuses on helping clients navigate advertising claims, social media policies, terms and conditions of promotional campaigns, endorsement policies, influencer and brand ambassador contracts, and more.
Technology Licensing
Jessica also helps businesses navigate IT and software licensing deals, using her background in licensing agreements and contracts to demystify the complexities and jargon of tech-based agreements. She guides clients through the commercial contracting process, negotiating contract scopes and terms, and drafting and reviewing various contracts, including Software-as-a-Service (SaaS) and Platform-as-a-Service (PaaS), in order to help her clients both secure essential services and foster innovative and long-term partnerships.
Commercial Contracts
Jessica is skilled in drafting and negotiating commercial contracts for clients in a wide range of industries. She regularly handles manufacturing agreements, service agreements, distribution agreements, confidentiality agreements, license agreements, exclusive supply agreements, maintenance agreements, and SaaS and PaaS subscription agreements.
