Jim advises companies, founders, and investors on complex transactions and financings, with deep experience in M+A, contract negotiation, state and federal regulatory compliance, and corporate governance. He leads buy- and sell-side deals from initial diligence through closing, and crafts practical agreements – asset purchase agreements, stock purchase agreements, merger agreements, and operating agreements – to move transactions forward.

From entity formation and early-stage financing through recapitalization and exit planning, Jim serves as a strategic advisor to private companies and their leadership teams.

Emerging Business

As part of the Emerging Business team, Jim loves advising startups on entity structuring, economic incentives, tax considerations, and contract negotiation strategies from the first term sheet through exit. He also represents private equity funds, portfolio companies, and founder-led businesses in acquisition financing, growth capital raises, and recapitalizations. He collaborates directly with boards, shareholders, and opposing counsel to structure terms that align with long term value creation and growth and brings practical experience across venture stage financings (e.g., Series A), sponsor backed deals, and debt financing.

Mergers + Acquisitions

Jim counsels both emerging and established businesses on buy- and sell-side transactions, leading due diligence, coordinating regulatory filings, and managing deals through closing. He drafts and negotiates key deal documents and helps clients navigate transaction-specific issues in regulated sectors – especially healthcare and financial services – helping balance deal objectives with regulatory obligations and best practices for smooth operations post-closing.
