Sale of Majority Equity Interest in Real Estate Brokerage by Multiple Owners
Kegler Brown’s transactional team acted as counsel to our clients in the redemption and sale of their interests in their real estate brokerage, which represented 70% of issued and outstanding shares of stock of the company. Our attorneys helped negotiate the redemption and stock purchase agreement, and the ancillary seller financing documents (including promissory notes and stock pledge agreements), while also advising and documenting the distribution of certain other property owned by the company to our clients prior to the sale of their interests.
