One of the firm’s most experienced transactional attorneys, Erin has led corporate deals of all sizes for public and private companies alike. She is a senior member of the firm’s deal team and plays a key role in managing strategic transactions and business operations that require compliance with public securities regulations.
In addition to her transactional experience, Erin also leads the firm’s engagements with non-profit organizations. She was recently recognized for excellence in the profession by attorney rating service Chambers USA, which describes Erin as “efficient, accurate, and thorough, with excellent people skills.”
Corporate + Securities
Erin counsels businesses through a variety of strategic and legal needs. From growth stages to public companies, Erin advises businesses on structuring and reorganizations, corporate governance, private offerings of equity and other fundraising transactions, contract drafting and negotiation, and public securities compliance.
Mergers + Acquisitions
Erin advises domestic and international companies, both public and private, in a variety of transactions and investments, including mergers, asset and stock purchases, recapitalizations, and divestitures. With her experience, she is able to guide clients efficiently and effectively through contract drafting and negotiation, premerger notification filings, tax structuring, and diligence.
Non-Profit Organizations
Erin advises non-profit organizations, including 501(c)(3) public charities and private foundations, 501(c)(4) civic associations, and 501(c)(6) trade associations regarding formation, membership, corporate governance, federal tax-exempt status, state-based registration requirements, and dissolution.
Commercial Contracts
Erin drafts and negotiates commercial contracts for both customers and vendors across a broad range of industries, including confidentiality agreements, service agreements, product purchase agreements, broker/sales representative agreements, exclusive supply agreements, reseller agreements, independent contractor agreements, joint ventures, joint development agreements, license agreements, software as a service (SaaS) subscription agreements, maintenance agreements, and staffing agreements.
