The Laserflex Corporation Acquired by Chicago-Based Joseph T. Ryerson & Son, Inc.

Laserflex, a laser fabrication, metal processing and welding specialist, has been acquired by Joseph T. Ryerson & Son, Inc., a leading distributor and value-added processor of industrial metals. The addition will expand Ryerson’s existing fabrication and metals processing capabilities.

Kegler Brown advised Laserflex and its shareholders on all aspects of the sale, including the definitive share purchase agreement, tax, environmental, ERISA and labor and employment matters. Our Mergers + Acquisitions team also coordinated deal-related due diligence in support of the transaction.

“It was our honor and privilege to partner with the Laserflex shareholders to help them successfully complete their sale transaction,” stated the chair of Kegler Brown’s Mergers + Acquisitions practice. “Their cooperation and organization helped the project go as smoothly as possible, allowing us to focus on all of the details, big and small, that arose during the sale process.”

Another Kegler Brown attorney added “It was very important for us not only to negotiate and manage a successful sale, but also to be responsive to questions from all of Laserflex’s shareholders and to work closely with Laserflex’s HR team to allow for a smooth transition.”

“Our Laserflex team is excited to join Ryerson and we look forward to growing and expanding our laser processing and other precision metal fabrication services throughout Ryerson's expansive commercial network,” commented Ken Kinkopf, president and chief executive officer of Laserflex.
