Distressed M+A Experience
Matt has developed extensive experience in dealing with the wide variety of complex issues that emerge during distressed transactions. He navigates the sensitive personal and legal dynamics affecting these deals and crafts a customized, strategic approach that leverages both his unique insight and other subject-matter experts at the firm. Throughout the life cycle of every deal, from transaction planning and due diligence to negotiating deal points and drafting legal documents, Matt’s client teams work efficiently and creatively to achieve a successful closing.
Matt has also spent more than a decade drawing on his experiences to teach business negotiation to second- and third-year law school students. His perspective in the classroom is informed by his professional philosophy- that negotiating a transaction is about neither “winning” the most deal points nor taking adversarial positions simply for the sake of being adversarial. Rather, he stresses that a business transaction is, generally, a relationship among multiple parties, each of whom wants a successful outcome. Further, Matt believes that it is critical for his students to understand the importance of articulating the client’s interests and making sure that the transaction documents both protect those interests and sensibly resolve the many other issues that may arise in the transaction.
Matt’s experience helping clients navigate distressed transactions is both deep and broad. It is highlighted by his partnerships with business owners and in-house attorneys across a diverse array of organizational models, including businesses related to:
- Accounts Receivable Management
- Community-Based Critical Care Access
- Golf and Country Club Management
- Health and Wellness Operations
- Hospital Systems and Health Care Affiliates
- Land Development
- Marina Operations
- Property Management
- Home Improvement
- Real Estate Management
- Steel Bars + Counterweights
Matt utilizes this approach with clients, counsel and other advisors to help get deals done.
