One core aspect of Jeremiah’s practice is representing a diverse portfolio of clients nationally, ranging from growth-stage businesses to real estate development companies, with respect to their daily operations and in structuring and negotiating capital infusion transactions. His experience in this space also includes working with founders, key executives, boards of directors, equity funds, investors, lenders, and other stakeholders in navigating the myriad securities issues associated with private placements and non-public investment, especially those relating to planning and sourcing development capital for companies requiring a complex blend of equity and debt investments.
Commercial + Real Estate Finance
Jeremiah represents real estate developers, banks, investment funds and commercial borrowers of all sizes in a wide range of financing transactions, including real estate acquisition financing, mezzanine financing, construction and permanent financing, syndicated loans, inventory and accounts receivable financing, and a wide variety of other asset-based loans.
Economic Development + Public Finance
Jeremiah advises both private businesses and government entities regarding the legal issues related to economic development and growth projects, including leveraging creative financing options that incorporate low income housing tax credits, new market tax credits, historic tax credits, bond financing, Tax Increment Financing (TIF), Joint Economic Development District (JEDD) revenues, New Community Authority (NCA) assessments, Special Improvement District (SID) assessments, and Enterprise Zone (EZ) abatements to support the development of such projects. He frequently serves as counsel to issuers, lenders, acquiring entities and borrowers in developing and implementing economic development and economic incentive strategies.
